BB & M MANAGEMENT, LLC is the Fund Manager (also referred to as the “Company Manager”). It is responsible for implementing the general investment objectives of the Company. The Fund Manager will administer the affairs of the Company. Gina Brown and Robert Brown are the sole managers of the Fund Manager and the Investment Advisor. They will be responsible for the day to day operations and investment decisions of the Company. The Fund Manager has unlimited authority to administer the business activities of the Company. The Series Members acknowledge and understand that neither the Fund Manager nor the Investment Advisor is the investment advisor to any individual Series Members. The Fund Manager has delegated authority to BB & M ADVISORS, LLC as the investment advisor for the Company.
BB & M ADVISORS, LLC (the “Investment Advisor”), a Delaware Limited Liability Company, will act as the Investment Advisor of the Company and will manage the Company’s investment portfolio on a discretionary basis consistent with the objectives of the Company and will administer the affairs of the Company, coordinating and administering all financial activities, including preparation of tax returns, financial statements, and, to the extent deemed advisable or appropriate by the Fund Manager, special financial reports and statements to Series Members. The Series Members acknowledge and understand that the Investment Advisor is not the investment advisor to any individual Series Member. The Investment Advisor is not currently required to register with the Securities and Exchange Commissions as an Investment Advisor or the State of Texas pursuant to 7 Tex. Admin. Code § 139.23 which exempts the advisor to a real estate fund from registration as an Investment Advisor.
GINA BROWN
GINA BROWN is a Founder and Managing Member of the Fund Manager and Investment Adviser to the Fund and it Series. Ms. Brown is responsible for supervising daily management operations as well as the execution of the real estate investment strategy for the Company.
Ms. Brown has financial services experience which includes her employment in the banking industry. She entered financial services industry as a teller at City National Bank. While at City National, she was promoted to the Bank’s Adjustment’s Department and again promoted to the Bank’s Trading Department. While at the City National Trading Department, Ms. Brown was responsible for supervising investor brokerage accounts for the Bank’s high net worth persons and its well know celebrities. In 1992 Ms. Brown’s was employed in management at Lomas Mortgage Escrow Department, Dallas, Texas. In 2002 Ms. Brown became licensed in Texas as a Real Estate Agent, actively working in the real estate industry until the economic downturn of 2007, when she segwayed into the Accounting Department for American Airlines. While at American Airlines she continued to independently pursue her career in real estate. In 2010, Ms. Brown became licensed in Texas as a Real Estate Broker and independently entered the industry on a full time basis.
Ms. Brown’s real estate experiences include comparative market analysis, contract negotiation, bid presentations, management of sellers and buyers awareness of legal disclosures and facilitation of closing processes. Ms. Brown is also experienced in creating marketing strategies including hard copies, soft copy, social media blasts, open houses and more. Ms Brown will apply more than 20 years’ experience and skills in executing the investment strategy of the Fund.
ROBERT BROWN
ROBERT BROWN is a Founder and Managing Member of the Fund Manager and Investment Adviser to the Fund. Mr. Brown is responsible for managing property rehabilitations, executing the completion of projects on the scale from makeready to tenant improvements, including “white boxes,” remodels, commercial and residential properties. Mr. Brown entered property rehabilitation industry in 1986 in New York City where he started as an apprentice at Bountiful Construction. At Bountiful he acquired trade skills in carpentry, masonry, concrete, painting finishes, plumbing and electrical. These trade skills were expanded to general contracting projects and allowed Robert to gain valuable property rehabilitation experience in the Bronx NY rehabilitating apartment buildings and working in Harlem, NY for Riza Construction Co., installing wall product and remodeling blocks of buildings. In 1992 Robert relocated to Arlington Texas, where after acquiring a Journeyman Electrician License. In 1995 he entered the “Property Rehab Industry” as an independent contractor acquiring his first rehabilitation project with the launch of Reliable Handyman, Inc., now Reliable Resources, Inc., a General Contractor where he serves as the President and Master Electrician.
